Purpose: These Terms are intended to regulate users’ access to, browsing of, registration with, login to, and use of the official website of FLM (Floormart) (hereinafter the “Website”), to clarify the rights and obligations between FLM and users, to safeguard the secure and stable operation of the Website, to maintain good online use order, and to reduce legal risks associated with website operations.
Scope of Application: These Terms apply to all individuals, enterprises, and other organizations that access, browse, register with, log in to, or use the Website and its related services.

Except as otherwise agreed in writing by the parties, content displayed on the Website does not constitute any offer of sale, procurement commitment, or legally binding transaction document.
2.2 Website Services
Based on the actual features of the Website, FLM may provide users with services including without limitation:
- (1) product display and browsing;
- (2) product search and filtering;
- (3) product Favorites;
- (4) product material downloads;
- (5) news and information browsing;
- (6) request for quotation (RFQ);
- (7) Contact Us;
- (8) membership registration, login, and account management; and
- (9) other website services that FLM may provide from time to time based on business development.
FLM has the right to add, adjust, optimize, suspend, or terminate the above services based on business development needs, and will publish related notices on the Website as appropriate.
2.3 Website Content
Content published or displayed on the Website, including without limitation product introductions, images, technical parameters, application cases, news, industry information, catalogs, downloadable materials, and other information, is provided solely for users’ reference in understanding FLM products and related business.
Except as otherwise provided by laws and regulations or otherwise agreed in writing by the parties, Website content does not constitute:
- (1) any product sales contract;
- (2) any product quality guarantee;
- (3) any price commitment;
- (4) any supply commitment;
- (5) any delivery commitment; or
- (6) any legally binding commercial offer.
If a user needs formal commercial information, the user should contact FLM through RFQ, business negotiations, or other formal channels.
2.4 Product Search and Browsing
Users may browse, search, and filter product information through the Website.
FLM will make reasonable efforts to maintain the accuracy, completeness, and timely updating of website information. However, due to product upgrades, technical optimization, market changes, or other objective reasons, content displayed on the Website may be subject to update delays or may differ from actual products.
Users should rely on the product materials, quotation documents, contract documents, or other formal commercial documents finally provided by FLM.
2.5 Product Favorites
Members may, based on features provided by the Website, add products of interest to a Favorites list for subsequent browsing, comparison, or inquiry.
The Favorites feature is provided solely for the user’s personal browsing convenience and does not represent:
- (1) reservation of product inventory;
- (2) successful product booking;
- (3) locking of product price;
- (4) establishment of a transaction relationship; or
- (5) any commitment by FLM regarding product supply.
2.6 Product Material Downloads

FLM will respond to relevant inquiries based on actual circumstances, but does not guarantee that all inquiries will be responded to within a specific time.

2.9 Request for Quotation (RFQ)
Users may submit a Request for Quotation (RFQ) or procurement needs through the Website.
Submitting an RFQ only indicates that the user has expressed a procurement intention, and does not constitute:
- (1) establishment of a transaction between the parties;
- (2) FLM’s acceptance of an order;
- (3) confirmation of product supply;
- (4) confirmation of price;
- (5) confirmation of delivery timeline; or
- (6) any other legally binding commercial commitment.
The transaction relationship between the parties shall be subject to the finally signed contract, order, procurement confirmation, or other formal commercial documents.
2.10 Website Operation
FLM will take reasonable measures to maintain the secure and stable operation of the Website, and will continuously optimize website performance and service quality.
If all or part of the Website’s features become temporarily unavailable, access is restricted, data is delayed, or services are interrupted due to any of the following reasons, FLM will take reasonable measures to restore them to the extent permitted by law:
- (1) system maintenance;
- (2) software upgrades;
- (3) server maintenance;
- (4) network communication failures;
- (5) abnormalities in third-party services;
- (6) force majeure;
- (7) requirements of laws and regulations; and
- (8) other circumstances beyond FLM’s reasonable control.
2.11 Service Adjustment and Termination
FLM has the right to adjust, optimize, suspend, or terminate services provided on the Website based on laws and regulations, business development, website operations, or security management needs.
If a related adjustment may materially affect users’ rights and interests, FLM will publish an announcement on the Website or provide notice by other reasonable means based on actual circumstances.
Chapter 3 – Member Account Management
3.1 Account Registration
Users may apply to register a member account in accordance with the registration process provided on the Website.
The Website allows users who meet the registration requirements to apply for a member account. Users should provide the information required for registration as prompted on the page and complete email verification. After successful email verification, users may log in to the Website with the corresponding account and use membership-related features.
Information provided by users during registration should be true, accurate, and complete. Users shall not register by impersonating others or using unauthorized information.
If an account cannot be used normally, related services are affected, or other liabilities arise because the user provided false, incorrect, incomplete, or unauthorized information, the user shall bear corresponding liability in accordance with law.

If a user discovers abnormal logins, password leakage, unauthorized use, or other security risks relating to an account, the user should promptly change the password and contact FLM based on the circumstances.
Losses caused by a user’s failure to reasonably fulfill account security management obligations shall be borne by the responsible party in accordance with law.
3.5 Account Information Management
Users should ensure that information provided during registration and use of a member account is true, accurate, and remains valid.
Based on features currently provided by the Website, certain account information such as registered email address, username, and contact details may not temporarily support user self-modification.
If such information needs to be changed, users may contact FLM based on features then provided by the Website or published contact methods. FLM may, based on account security, identity verification, and business management needs, require users to provide necessary information to verify related requests.
FLM has the right to adjust the manner of member account information management based on website feature upgrades and business development needs.
3.6 Password Management
Users may change or reset account passwords in accordance with features provided by the Website.
When setting passwords, users should use passwords of reasonable security strength to the extent possible, and avoid using information that can be easily guessed or obtained by others.
If a user forgets a password, the user may follow the password reset process provided by the Website.
FLM will not actively require users to provide complete account passwords to any person through unofficial channels. Users should carefully identify any requests for account passwords or other sensitive login information.
3.7 Membership Features
After logging in, members may use corresponding membership services based on features actually provided by the Website, including without limitation:
- (1) adding products of interest to Favorites;
- (2) viewing or managing personal Favorites content;
- (3) using related website features open to members; and
- (4) other membership services that FLM may subsequently provide based on business development.
Specific membership features shall be determined by the features actually provided by the Website.
Membership itself does not mean that a user is entitled to specific product prices, inventory priority, supply assurance, or other commercial rights, unless otherwise expressly agreed in writing between FLM and the user.
3.8 Account Cancellation
Users may apply to cancel their member accounts through the account cancellation feature provided by the Website.
To safeguard account security, FLM may take necessary identity verification or secondary confirmation measures during the account cancellation process.
After account cancellation is completed, the user will be unable to continue logging in to the Website or using related membership features through that account, and certain personalized features and related data in the original account may be unrecoverable.
Account cancellation does not affect lawful rights and obligations that arose before cancellation, nor does it affect FLM’s fulfillment of data retention, dispute handling, security auditing, or other statutory obligations under applicable laws and regulations.
Matters involving personal information processing and data retention after account cancellation shall be handled in accordance with the Privacy Notice.
3.9 Account Restriction, Suspension, and Termination
If a user falls under any of the following circumstances, FLM has the right, based on the specific circumstances and to the extent permitted by laws and regulations, to take reasonable measures such as warnings, restriction of certain features, suspension of account use, or termination of the member account:
- (1) violation of these Terms or other applicable rules of the Website;
- (2) provision of false, misleading, or unauthorized information during registration or use of an account;
- (3) unauthorized use of another person’s identity or account;
- (4) use of a member account to engage in illegal, non-compliant, fraudulent, or conduct that infringes others' lawful rights and interests;
- (5) conduct that may endanger the Website, servers, systems, data, or network security;
- (6) malicious interference with the normal operation of the Website or abuse of website services;
- (7) requirements of laws and regulations, regulatory authorities, or judicial authorities to take related measures; and
- (8) other circumstances involving serious violations of these Terms or that may cause harm to the lawful rights and interests of FLM, the Website, other users, or third parties.
FLM will take corresponding measures based on the nature, severity, and potential impact of the violating conduct.
3.10 Handling After Account Termination
After a member account is cancelled, suspended, or terminated, the user’s permission to use related membership features may be restricted or terminated at the same time.
Cancellation, suspension, or termination of an account does not affect rights and obligations that arose before such action and that should continue to be performed in accordance with law.
For information that must be retained in accordance with law, FLM will handle it in accordance with applicable laws and regulations and the Privacy Notice.
3.11 Adjustment of Account Services
As Website features are upgraded and business develops, FLM may adjust membership registration methods, login methods, account management processes, and membership features.
If related adjustments materially affect the normal use of member accounts, FLM will notify users based on actual circumstances through website announcements, page prompts, email, or other reasonable means.
Chapter 4 – User Conduct Rules
4.1 Lawful and Reasonable Use
When accessing or using the Website and related services, users should comply with applicable laws and regulations, these Terms, and other applicable rules published on the Website, and should use the Website reasonably in accordance with the principle of good faith.
Users shall not use the Website to engage in any illegal or non-compliant activities, nor shall they engage in any conduct that may infringe the lawful rights and interests of FLM, other users, or third parties, or that may affect the security, stability, and normal operation of the Website.
4.2 Prohibited Conduct
When accessing or using the Website, users shall not engage in conduct including without limitation:
- (1) publishing, uploading, submitting, transmitting, or otherwise processing content that violates applicable laws and regulations;
- (2) publishing or submitting false, fraudulent, misleading, insulting, defamatory, infringing, or other improper content;
- (3) impersonating FLM, FLM employees, other users, or any third party, or otherwise falsely stating a relationship with relevant individuals or organizations;
- (4) accessing, using, or attempting to access non-public areas, servers, databases, accounts, computer systems, or related networks of the Website without authorization;
- (5) interfering with, disrupting, attacking, or otherwise affecting the security, integrity, or normal operation of the Website, servers, systems, databases, or related networks;
- (6) uploading, transmitting, or introducing viruses, Trojan programs, worms, malicious code, or other programs that may cause damage to the Website, user devices, or related systems;
- (7) circumventing, bypassing, destroying, or attempting to circumvent access controls, security verification, technical protections, or other restriction measures adopted by the Website;
- (8) copying, republishing, modifying, transmitting, displaying, selling, licensing, or commercially exploiting Website content without authorization;
- (9) using the Website to engage in fraud, harassment, unfair competition, intellectual property infringement, or other conduct that harms the lawful rights and interests of third parties; and
- (10) engaging in other conduct that violates applicable laws and regulations or these Terms, or that may cause harm to FLM, the Website, other users, or third parties.
4.3 Automated Access and Data Scraping
Except with FLM’s prior written authorization, or where the Website expressly permits such conduct through publicly available technical means, users shall not use robots, crawlers/spiders, scripts, automated programs, data scraping tools, or other similar technical means to engage in the following conduct with respect to the Website:
- (1) bulk accessing, scraping, copying, downloading, or collecting Website content;
- (2) systematically collecting product information, images, technical materials, contact details, or other website data;
- (3) bulk downloading product catalogs, files, or other materials;
- (4) bypassing access frequency limits, security measures, or other technical restrictions;
- (5) imposing unreasonable or excessive load on Website servers or systems; or
- (6) using scraped or collected data for unauthorized commercial databases, competitive platforms, product catalogs, or other commercial purposes.
These Terms do not restrict public search engines that lawfully enjoy relevant rights from reasonably indexing publicly available pages of the Website in accordance with industry-standard practices; however, such conduct shall still comply with applicable laws and regulations and technical rules lawfully set by the Website.
4.4 Use Related to Artificial Intelligence and Machine Learning
Without FLM’s prior written authorization, users shall not systematically scrape, copy, download, or use Website content for training, developing, optimizing, or evaluating artificial intelligence models, machine learning models, generative AI systems, or other similar technical systems.
Users also shall not use automated technologies to extract product information, images, technical materials, product catalogs, database content, or other protected content from the Website on a large scale for the purpose of establishing or improving third-party commercial products, databases, or competitive services.
Except where expressly permitted by laws and regulations and where such permission cannot lawfully be excluded by contract.
4.5 Reverse Engineering and Technical Restrictions
Except where expressly permitted by applicable laws and regulations and where such permission cannot lawfully be restricted, without FLM’s prior written authorization, users shall not engage in the following with respect to the Website or its related software, programs, and technical systems:
- (1) reverse engineering;
- (2) decompilation;
- (3) disassembly;
- (4) cracking;
- (5) unauthorized penetration testing or vulnerability scanning;
- (6) attempting to obtain source code, non-public interfaces, algorithms, system architecture, or other non-public technical information; or
- (7) other conduct that may endanger the Website’s technical systems or information security.
4.6 Website and Information Security
Users shall not intentionally take any action that may affect the security, stability, integrity, or availability of the Website.
Users shall not attempt to obtain other users’ accounts, passwords, personal information, commercial information, or other data that they are not authorized to access.
If a user discovers that the Website may have security vulnerabilities, system anomalies, or other information security risks, the user may provide feedback through contact methods published by FLM.
Without FLM’s prior written authorization, users shall not publicly disclose, exploit, or amplify related security vulnerabilities in the name of testing, research, or otherwise, except as otherwise provided by applicable laws and regulations.
4.7 Intellectual Property and Third-Party Rights
When using the Website, users should respect the intellectual property rights, trade secrets, privacy rights, personal information rights, and other lawful rights and interests of FLM and third parties.
Users shall not use the Website to publish, submit, or transmit content they are not authorized to use, nor shall they in any way assist others in committing infringing acts.
Specific rules regarding Website content and FLM’s intellectual property shall be governed by Chapter 6 of these Terms.
4.8 User Responsibility
Users shall bear corresponding liability in accordance with law for their use of the Website and member accounts.
If a user’s violation of applicable laws and regulations or these Terms, or infringement of third-party lawful rights and interests, causes FLM to suffer losses, assume liability, or face lawful third-party claims, the responsible party shall bear corresponding liability in accordance with law.
If FLM incurs reasonable and necessary losses due to a user’s illegal or non-compliant conduct, FLM has the right to seek recovery from the responsible party in accordance with law.
4.9 Handling of Violations
If FLM has reasonable grounds to believe that a user has violated these Terms, applicable laws and regulations, or other Website rules, FLM has the right, based on the nature, severity, and potential impact of the relevant conduct, and to the extent permitted by laws and regulations, to take measures including without limitation:
- (1) reminders or warnings;
- (2) restriction of related website features;
- (3) deletion or blocking of violating content;
- (4) restriction, suspension, or termination of member accounts;
- (5) restriction of abnormal or malicious access;
- (6) adoption of reasonable technical security measures;
- (7) reporting to or cooperating with investigations by relevant regulatory, judicial, or law enforcement authorities in accordance with law; and
- (8) taking other necessary measures in accordance with law.
When taking the above measures, FLM will comply with applicable laws and regulations and take reasonable measures commensurate with the related risks based on the specific circumstances.
4.10 Reservation of Lawful Rights
Restrictions on user conduct in this Chapter shall not be construed as limiting lawful rights that users enjoy under applicable laws and regulations and that cannot be excluded or restricted by contract.
If any provision of this Chapter conflicts with mandatory provisions of applicable laws and regulations, the relevant mandatory provisions shall prevail.
Chapter 5 – User-Submitted Content
5.1 User-Submitted Content
Users may, based on features provided by the Website, submit to FLM information and materials related to website services or business needs, including without limitation:
- (1) membership registration and account-related information;
- (2) RFQ and procurement needs;
- (3) inquiry information submitted through “Contact Us”;
- (4) product inquiries and business communication information;
- (5) opinions, suggestions, or feedback;
- (6) files, images, or other materials voluntarily submitted by users to FLM; and
- (7) information or content submitted through other Website features.
Where user-submitted content involves personal information, FLM will process it in accordance with the Privacy Notice and applicable laws and regulations.
5.2 Truthfulness of User-Submitted Content
Users should ensure that information and materials submitted to the Website or FLM are true, accurate, and complete, and keep such information valid where reasonably necessary.
Users shall not intentionally submit false, fraudulent, misleading, or illegal information, nor shall they impersonate others or use third-party information without authorization.
If related business cannot be processed normally or other losses are caused because a user intentionally or negligently submits incorrect, false, incomplete, or unauthorized information, the responsible party shall bear corresponding liability in accordance with law.

Users should ensure that content they submit complies with applicable laws and regulations and these Terms, and that they have the right to submit and use such content.

- (3) contain illegal, fraudulent, defamatory, malicious, or other improper content;
- (4) contain viruses, malicious code, or other content that may affect the security of the Website and related systems; or
- (5) be used to engage in illegal activities or other conduct that violates these Terms.
5.4 RFQ and Procurement Needs
When submitting an RFQ, procurement needs, or product inquiries through the Website, users should provide information that is as true, accurate, and relevant to actual business needs as possible, so that FLM can evaluate and respond.
A user’s submission of an RFQ or procurement needs only represents an expression of potential procurement or cooperation intention to FLM, and does not mean that a contractual relationship has been established between the parties.
FLM’s receipt, evaluation, response, or provision of a quotation with respect to related information also does not by itself mean that FLM has accepted the user’s order or made a final commitment regarding transaction terms.
Specific transaction terms shall be subject to the contract, order, quotation confirmation document, or other formal commercial documents finally confirmed by the parties.
5.5 Business Inquiries and Contact Us
When users submit business inquiries to FLM through “Contact Us,” email, or other Website channels, FLM may use information provided by users to the extent reasonably necessary to handle the related inquiries.
FLM will handle and respond based on the content of the inquiry and actual business circumstances, but except as otherwise expressly agreed by the parties, does not guarantee that all inquiries will be responded to within a specific period.
Users should not submit passwords, payment information, or other unnecessary sensitive information through public comment areas or other non-essential channels.
5.6 User Feedback and Suggestions
If a user voluntarily submits opinions, suggestions, or general feedback regarding the Website, products, or services to FLM, FLM may, without violating applicable laws and regulations or the parties’ confidentiality obligations, use such feedback to improve the Website, products, or services.
If related feedback contains intellectual property, trade secrets, or other legally protected information belonging to the user or a third party, its use and handling shall be in accordance with applicable laws and regulations and relevant agreements between the parties.
5.7 Necessary Use of User-Submitted Content
To the extent reasonably necessary to provide website services, handle users’ business needs, or fulfill related obligations, users agree that FLM may receive, store, view, copy, transmit, and otherwise necessarily process content they lawfully submit.
Such processing is limited to the following reasonable purposes:

- (2) handling RFQs, product inquiries, or procurement needs;
- (3) responding to user inquiries and conducting business communications;
- (4) providing product materials or related services actively requested by users;
- (5) maintaining the security of the Website and information systems;
- (6) handling complaints or disputes, or protecting lawful rights and interests in accordance with law;
- (7) fulfilling obligations under applicable laws and regulations; and
- (8) other uses separately agreed to by the user.
These Terms shall not be construed as transferring ownership or intellectual property rights in user-submitted content to FLM.
5.8 Confidential Information
The Website’s general information submission features are not specifically designed to receive highly confidential information of users or third parties.
Except where the parties have signed a confidentiality agreement or otherwise expressly agreed in writing, before submitting content involving trade secrets or other important confidential information through the Website, users should take reasonable confidentiality measures based on actual circumstances and contact FLM through appropriate commercial channels.
For content that the parties have expressly agreed constitutes confidential information, FLM will handle it in accordance with applicable laws and regulations and valid confidentiality agreements between the parties.

If FLM has reasonable grounds to believe that content submitted by a user violates applicable laws and regulations or these Terms, or infringes the lawful rights and interests of third parties, FLM has the right, based on the specific circumstances and to the extent permitted by laws and regulations, to take the following reasonable measures:
- (1) suspending processing of the related content;
- (2) restricting display of or access to the related content;
- (3) deleting or blocking the related content;
- (4) requiring the user to supplement, modify, or verify related information; and

9.5 Website Maintenance and Temporary Suspension

9.10 Continued Validity of Rights and Obligations Already Arisen
Amendments to these Terms, suspension or termination of Website services, and users’ cessation of use of the Website or cancellation of member accounts do not affect rights and obligations that arose lawfully before such events and that should continue to be performed.
Provisions that by their nature should remain effective after termination of these Terms, including without limitation intellectual property, allocation of liability, dispute resolution, and other provisions that should continue in effect under law, may continue to remain effective after termination of the related legal relationship.
Chapter 10 – Governing Law and Dispute Resolution
10.1 Governing Law
The formation, effectiveness, interpretation, performance of these Terms, and the resolution of disputes related to these Terms, shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
If the laws and regulations applicable in the user’s location or to related matters contain mandatory provisions that cannot lawfully be excluded or restricted by contract, such mandatory provisions shall still apply.

10.4 Disputes Relating to Specific Transactions
If a user and FLM separately sign or confirm a contract, order, proforma invoice, or other formal commercial document regarding specific product procurement, sales, supply, or other commercial cooperation, and such document expressly provides otherwise for governing law or dispute resolution, disputes relating to that specific transaction shall preferentially be handled in accordance with the valid provisions of such formal commercial documents.
These Terms primarily apply to users’ access to and use of the Website, and should not replace contracts and other formal commercial documents separately signed or confirmed by the parties for specific transactions.
10.5 Mandatory Legal Provisions
Nothing in these Terms shall be construed as excluding, limiting, or depriving users of rights they lawfully enjoy under applicable laws and regulations and that cannot be excluded or limited by contract.
If any provision of these Terms conflicts with mandatory provisions of applicable laws and regulations, the relevant mandatory provisions shall prevail, provided that such conflict shall not affect the validity of the remaining provisions of these Terms.

FLM’s failure to take measures in a particular circumstance does not mean that it waives related rights in other identical or similar circumstances.
